1. Acceptance of Terms
By accessing or using the ContractsGuard platform, including our website, applications, APIs, and all related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.
If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time. These Terms constitute a legally binding agreement between you and Domaniai LLC ("ContractsGuard," "we," "us," or "our").
By creating an account or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding contracts. You also confirm that you are not prohibited from using the Service under the laws of your jurisdiction.
2. Description of Service
ContractsGuard provides an AI-powered contract analysis platform that uses artificial intelligence technology to analyze legal documents and contracts. Our Service enables users to upload contracts and other legal documents for automated analysis, which includes identification of key clauses, risk assessment, obligation tracking, deadline detection, and summary generation.
The Service utilizes advanced natural language processing and machine learning models provided by third-party AI providers (including advanced language models) to process document content and generate analysis results. The analysis provided by our Service is intended as a supplementary tool to assist in contract review and does NOT constitute legal advice, legal representation, or the practice of law in any jurisdiction.
ContractsGuard is a technology company providing software tools. We are not a law firm, we do not provide legal services, and no attorney-client relationship is created between you and ContractsGuard through the use of our Service. The analysis results generated by our AI systems are informational in nature and should always be reviewed and verified by a qualified legal professional before any decisions or actions are taken based on such results.
We continuously work to improve the accuracy and capabilities of our Service, but we do not guarantee that our AI analysis will identify every relevant clause, risk, or issue in any given document. The Service is designed to complement, not replace, professional legal review.
3. Account Registration
To access the full features of the Service, you must create an account by providing accurate, complete, and current information during the registration process. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.
You agree to immediately notify ContractsGuard of any unauthorized use of your account or any other breach of security. ContractsGuard will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not share your account with other individuals or entities unless your subscription plan explicitly permits multiple users.
You agree to provide truthful and accurate information during registration and to update your account information promptly if it changes. We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.
4. Subscription Plans and Payments
ContractsGuard offers the following subscription plans: (a) Trial Plan -- a time-limited free trial that provides access to basic features with a limited number of document analyses; (b) Standard Plan -- a monthly or annual subscription providing access to core analysis features with a defined monthly document analysis quota; (c) Pro Plan -- a monthly or annual subscription providing access to all features including advanced analysis, priority processing, API access, and higher document analysis quotas; and (d) Single Purchase -- a one-time payment option for individual document analyses without a recurring subscription.
All paid subscription plans are billed in advance on a monthly or annual basis, depending on your selection. All payments are processed by our authorized reseller, Paddle.com Market Ltd ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles billing, tax collection, invoicing, and payment processing on our behalf. By subscribing to a paid plan, you agree to Paddle's terms of service and authorize Paddle to charge the applicable subscription fees to your designated payment method on a recurring basis until you cancel your subscription.
Subscription prices are listed on our pricing page and are denominated in Euros (EUR). Applicable taxes (VAT/sales tax) are calculated and added automatically by Paddle based on your location. We reserve the right to modify our pricing at any time. Any price changes to existing subscriptions will take effect at the beginning of the next billing cycle following at least 30 days' prior notice. You will be given the opportunity to cancel your subscription before the new pricing takes effect.
Invoices and Receipts: All invoices are issued by Paddle as the Merchant of Record and are available through the Paddle customer portal. Invoices comply with applicable tax regulations in your jurisdiction.
Refund Policy: All payments are processed by Paddle as the Merchant of Record. If you are unhappy with your purchase, you may request a refund by contacting us at support@contractsguard.app or through Paddle's customer support. Refund requests are handled in accordance with Paddle's refund policy. Subscriptions can be cancelled at any time through the customer portal, and you will retain access until the end of your current billing period. Trial plans convert to paid plans automatically at the end of the trial period unless you cancel before the trial expires.
5. AI Analysis Disclaimer
THIS SECTION IS CRITICALLY IMPORTANT. PLEASE READ IT CAREFULLY. The AI-powered analysis provided by ContractsGuard is generated by artificial intelligence systems and is intended solely as an informational tool to assist in contract review. The analysis is NOT legal advice, and ContractsGuard is NOT a law firm, legal services provider, or substitute for a qualified attorney.
LIMITATIONS OF AI ANALYSIS: Artificial intelligence, while powerful, has inherent limitations. Our AI models may: (a) fail to identify certain clauses, risks, or issues within a document; (b) misinterpret ambiguous or complex legal language; (c) produce results that are inaccurate, incomplete, or misleading; (d) not account for jurisdiction-specific legal requirements or recent changes in applicable law; (e) not understand the full commercial or strategic context of a contractual relationship; and (f) generate different results for the same document if analyzed multiple times due to the probabilistic nature of AI models.
NO LIABILITY FOR DECISIONS BASED ON AI ANALYSIS: ContractsGuard expressly disclaims any and all liability for decisions made, actions taken, or contracts entered into based in whole or in part on the analysis results generated by our Service. You acknowledge and agree that: (a) you are solely responsible for any decisions made based on the analysis results; (b) the analysis results should not be relied upon as the sole basis for any legal, financial, or business decision; (c) you should always consult a qualified legal professional before making decisions based on the analysis of any legal document; and (d) ContractsGuard shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your reliance on the analysis results.
OBLIGATION TO SEEK PROFESSIONAL LEGAL COUNSEL: By using our Service, you explicitly acknowledge that ContractsGuard strongly recommends that all contracts and legal documents be reviewed by a qualified attorney licensed in the relevant jurisdiction before execution. Our AI analysis is designed to supplement, not replace, professional legal review. Using ContractsGuard does not eliminate the need for legal counsel, and you should not forego consultation with a licensed attorney based on the results of our AI analysis.
AI MODEL UPDATES AND VARIABILITY: The AI models underlying our Service are periodically updated and improved. As a result, analysis results for the same document may vary over time. Previous analysis results should not be considered permanent or definitive. We recommend re-analyzing documents periodically, especially before making critical decisions based on previously generated analysis results.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional obligations in your jurisdiction.
You shall NOT: (a) upload, transmit, or share any content that is illegal, harmful, threatening, defamatory, or otherwise objectionable; (b) use the Service to facilitate any illegal activity, including but not limited to fraud, money laundering, or tax evasion; (c) attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service; (d) use automated scripts, bots, or scrapers to access the Service or extract data; (e) attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service; (f) use the Service in any manner that could disable, overburden, damage, or impair the Service; (g) resell, sublicense, or redistribute the Service or any analysis results to third parties without our express written consent; or (h) use the Service to process documents that you do not have the legal right to share.
Violation of these acceptable use provisions may result in immediate suspension or termination of your account, without refund, and may expose you to legal liability. We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions.
7. Intellectual Property
The Service, including but not limited to its software, algorithms, user interface design, graphics, logos, trademarks, and documentation, is the exclusive property of Domaniai LLC and is protected by United States and international intellectual property laws, including copyright, patent, trademark, and trade secret laws.
Your Content: You retain all ownership rights to the documents you upload to the Service. By uploading documents, you grant ContractsGuard a limited, non-exclusive, non-transferable license to process your documents solely for the purpose of providing the analysis service to you. We do not claim any ownership over your uploaded documents or the information contained therein.
Analysis Results: The analysis reports generated by our Service are provided to you under a non-exclusive license for your internal use. You may share analysis results with your legal counsel, business partners, or other relevant parties as necessary. However, you may not commercially redistribute or resell analysis results as a standalone product or service.
Feedback: If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant ContractsGuard a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
8. Data and Privacy
Your privacy is important to us. Our collection, use, storage, and protection of your personal data is governed by our Privacy Policy, which is available at contractsguard.app/privacy and is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
You acknowledge that documents uploaded to the Service may be processed by third-party AI providers for the purpose of generating analysis results, as described in our Privacy Policy. We have entered into appropriate data processing agreements with all third-party processors to ensure compliance with applicable data protection laws, including the GDPR.
You represent and warrant that you have all necessary rights, consents, and authorizations to upload and share any documents with our Service for analysis, and that doing so does not violate any confidentiality agreements, non-disclosure agreements, or other contractual obligations to which you are bound. You are solely responsible for any consequences arising from the unauthorized sharing of confidential or proprietary documents.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACTGUARD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF CONTRACTGUARD FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CONTRACTGUARD DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED EUROS (EUR 100).
ContractsGuard specifically disclaims liability for: (a) any errors, inaccuracies, or omissions in the AI-generated analysis results; (b) any decisions made or actions taken based on the analysis results; (c) any losses arising from unauthorized access to your account due to your failure to maintain adequate account security; (d) any losses arising from the temporary or permanent unavailability of the Service; and (e) any third-party claims arising from your use of the Service or your uploaded content.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Domaniai LLC, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights and confidentiality obligations; or (e) the content of any documents you upload to the Service.
ContractsGuard reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with ContractsGuard in asserting any available defenses. You shall not settle any claim without the prior written consent of ContractsGuard.
11. Termination
You may terminate your account at any time through the account settings in your dashboard or by contacting our support team. Upon termination: (a) your right to access and use the Service will immediately cease; (b) any outstanding subscription fees for the current billing period will not be refunded, except as provided in our Refund Policy; and (c) your uploaded documents and analysis results will be deleted in accordance with our data retention policies as described in the Privacy Policy.
ContractsGuard may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) violation of applicable law; (c) fraudulent, abusive, or otherwise unlawful activity; (d) non-payment of subscription fees; or (e) upon request by law enforcement or other government agencies. In the event of termination for cause, you will not be entitled to any refund.
The following provisions of these Terms shall survive termination: Sections 5 (AI Analysis Disclaimer), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and any other provisions that by their nature should survive termination.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to its conflict of laws provisions.
For consumers residing in the European Union, these Terms do not affect your mandatory consumer protection rights under the laws of your country of residence that cannot be derogated from by agreement. In particular, nothing in these Terms limits your rights under the EU Consumer Rights Directive (2011/83/EU) or any applicable national implementation thereof.
Any disputes arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent courts of the jurisdiction where Domaniai LLC is registered. For consumers, disputes may also be brought before the competent courts of the consumer's place of residence.
The European Commission provides an online dispute resolution platform for consumers, available at https://ec.europa.eu/consumers/odr. We are not obligated and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board, unless required by applicable law.
13. Changes to Terms
ContractsGuard reserves the right to modify these Terms at any time. When we make material changes, we will provide notice through the Service, via email, or by other appropriate means at least 30 days before the changes take effect. Non-material changes, such as corrections of typographical errors or minor clarifications, may take effect immediately upon posting.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account in accordance with Section 11. We recommend reviewing these Terms periodically to stay informed of any changes.
